1. Agreement to these terms

These Terms of Use ("Terms") govern your access to and use of Epohk's website, mobile applications, and related services (collectively, the "Services") operated by Epohk ("we," "us," or "our"). By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Our Privacy Policy describes how we collect and use personal information and is incorporated by reference.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at info@epohk.com if you suspect unauthorized access.

3. The Services

Epohk provides software and payment tools that help businesses and individuals send, request, and manage payments, verify identity, coordinate deals and documents, and use related workflows. The Services may include document storage, messaging, notifications, and integrations with third-party tools.

We do not provide legal, tax, financial, or brokerage advice. Epohk is not a bank. Nothing in the Services is a substitute for professional advice. You are solely responsible for your decisions and compliance with applicable laws, regulations, and contractual obligations.

4. Your content and license

You retain ownership of content you submit to the Services ("Your Content"). You grant us a non-exclusive, worldwide license to host, process, transmit, display, and reproduce Your Content solely as needed to provide, secure, and improve the Services and as described in our Privacy Policy.

You represent that you have the rights necessary to grant this license and that Your Content does not violate any law or third-party rights.

5. Acceptable use

You agree not to:

• Use the Services in any unlawful manner or in violation of these Terms.

7. Fees

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPOHK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE PROHIBITED BY LAW.

11. Indemnity

You will defend, indemnify, and hold harmless Epohk and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Services, or your violation of these Terms, except to the extent caused by our willful misconduct.

12. Suspension and termination

We may suspend or terminate your access to the Services if you materially breach these Terms, if we are required to do so by law, or to protect the security or integrity of the Services. You may stop using the Services at any time. Provisions that by their nature should survive will survive termination.

13. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and update the effective date. If changes are material, we will provide additional notice as appropriate (for example, by email or in-product notice). Your continued use after the effective date constitutes acceptance of the revised Terms.

14. General

These Terms constitute the entire agreement between you and Epohk regarding the Services and supersede any prior agreements on the same subject. If any provision is found unenforceable, the remaining provisions remain in effect.

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, except where mandatory consumer protection laws of your jurisdiction apply. Courts located in Delaware have exclusive jurisdiction over disputes, unless otherwise required by law.
